Terms of Service

1. Acceptance of Terms

By accessing or using EnsoTrader (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and the operator of EnsoTrader (“we,” “us,” or “our”). By creating an account, subscribing to a plan, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

EnsoTrader is a web-based trading journal and analytics platform designed to help traders develop mindful, deliberate decision-making habits. The Service provides:

• Session-based trade journaling with structured reflection
• Performance analytics and discipline tracking
• Goal setting and streak monitoring
• Calendar views and historical review
• Rich-text notes and trade annotation

The Service is a self-reflection and journaling tool. It does not execute trades, connect to brokerage accounts, or provide market data feeds.

4. Account Responsibilities

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete information during registration
• Maintain the security of your account credentials (email and password)
• Notify us promptly if you suspect unauthorized access to your account

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your credentials.

You may not share your account with others, create multiple accounts to circumvent restrictions, or impersonate another person.

5. Subscription & Billing

Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

Paid Plans

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All payments are processed securely through Stripe. We do not store your payment card details on our servers.

Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your subscription remains active until the end of your current billing period
• You will not be charged for subsequent billing periods
• Your data is retained for 30 days after your subscription expires, during which you can resubscribe to regain access
• After 30 days of inactivity on an expired subscription, your data may be permanently deleted

Refunds

Because the Service offers a free trial, we generally do not provide refunds for subscription payments. However, if you believe you were charged in error or have extenuating circumstances, please contact us and we will review your request on a case-by-case basis.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Scrape, crawl, or use automated means to extract data from the Service (other than your own data via supported export features)
• Resell, sublicense, or redistribute the Service or any part of it
• Upload malicious code, viruses, or any content intended to harm the Service or other users
• Use the Service to store content unrelated to trading journals (e.g., using it as general-purpose file storage)

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice depending on the severity of the violation.

7. Intellectual Property

The Service — including its design, code, features, branding, logo, and documentation — is owned by the operator of EnsoTrader and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

“EnsoTrader,” the EnsoTrader logo, and related marks are our trademarks. You may not use them without permission.

8. User-Generated Content

You retain full ownership of all content you create in EnsoTrader, including:

• Trading session journals and notes
• Goals, reflections, and annotations
• Trade data you manually enter
• Any other content you input into the Service

By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you. We will not sell your content, use it for advertising, or share it with third parties except as described in our Privacy Policy.

You may export or delete your data at any time using the tools provided in your account settings.

9. Data & Privacy

Your privacy matters to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Service Availability

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Unplanned technical issues or outages
• Factors beyond our control (internet infrastructure, third-party service providers, etc.)

We do not provide a formal uptime guarantee or service level agreement (SLA) at this time. We will make reasonable efforts to notify you of planned downtime in advance.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
• We are not liable for any trading losses, financial losses, or investment decisions you make. The Service is a journaling tool and does not influence, recommend, or execute trades.
• Our total liability for any claim arising from these Terms or your use of the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Termination

By You

You may stop using the Service at any time. You may delete your account from your account settings, which will permanently remove your data after a grace period (see our Privacy Policy for details).

By Us

We reserve the right to suspend or terminate your access to the Service at any time if:

• You violate these Terms or our Acceptable Use policy
• Your account is used for fraudulent or illegal activity
• We are required to do so by law or a valid legal order
• We discontinue the Service (in which case we will provide reasonable notice and an opportunity to export your data)

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (such as limitation of liability, intellectual property, and dispute resolution) will continue to apply.

13. Dispute Resolution

If you have a dispute or concern about the Service, we encourage you to first contact us directly so we can attempt to resolve the issue informally. Most concerns can be resolved quickly through direct communication.

If we cannot resolve a dispute informally within 30 days, either party may pursue formal resolution. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

You agree that any dispute resolution proceedings will be conducted on an individual basis, not as a class action or representative proceeding.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, features, or legal requirements. When we make material changes:

• We will update the “Effective date” at the top of this page
• We will notify you by email or through the Service at least 14 days before the changes take effect
• Continued use of the Service after the effective date constitutes acceptance of the updated Terms

If you disagree with any changes, you may stop using the Service and delete your account before the new Terms take effect.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the United States, and you consent to the personal jurisdiction of such courts.
